These Terms & Conditions (“Terms”) govern your use of the website softechinfinitesolution.com (the “Website”) and the digital marketing services provided by softechinfinitesolution.com (“we”, “our”, “us”). By using the Website, submitting an enquiry, or engaging our services, you agree to these Terms.
1. Our services
We provide digital marketing services including, without limitation, search engine optimisation (SEO), Google and Meta advertising management, social media marketing, content marketing, website design and development, e-commerce marketing, and influencer/UGC campaigns. The specific scope, deliverables, timelines and fees for your engagement are set out in the proposal, quotation or agreement shared with you (“Engagement Terms”). If these Terms conflict with your Engagement Terms, the Engagement Terms prevail.
2. Quotations, fees and payment
- All fees are quoted in Indian Rupees (INR) unless stated otherwise, and are exclusive of applicable taxes (such as GST), which will be charged additionally as per law.
- Invoices are payable as per the schedule in your Engagement Terms (typically in advance for monthly retainers). Work may be paused if payment is overdue.
- Online payments on the Website are processed through secure third-party payment gateways. By paying online you also agree to the payment gateway’s terms.
- Third-party costs — such as advertising spend paid to Google or Meta, domain, hosting, stock assets or software licences — are separate from our service fees unless expressly included, and are non-refundable once spent.
3. Client responsibilities
- You will provide timely access to accounts, brand assets, approvals and information reasonably needed to deliver the services.
- You confirm that the content, claims, products and services we are asked to promote are lawful and that you hold the necessary rights to all materials you provide.
- You are responsible for your business’s own legal and regulatory compliance, including advertising regulations applicable to your industry.
4. Results and no-guarantee disclaimer
Digital marketing outcomes depend on many factors outside any agency’s control, including platform algorithms, competition, market conditions and your business’s own operations. Any figures, projections or case studies shared by us are illustrative of past work and are not a guarantee of your results. We commit to professional, diligent execution — not to specific rankings, traffic, leads, sales or return on ad spend, unless expressly agreed in writing.
5. Intellectual property
- Materials you provide remain yours. You grant us a licence to use them for delivering the services.
- On full payment, deliverables created specifically for you (ad creatives, content, website work as defined in your Engagement Terms) are assigned to you, excluding our pre-existing tools, know-how and processes.
- We may reference non-confidential work and results in our portfolio and marketing unless you ask us in writing not to.
6. Confidentiality
Each party will keep the other’s non-public business information confidential and use it only for the engagement, except where disclosure is required by law.
7. Term and termination
Ongoing engagements run month-to-month after any initial onboarding period stated in your Engagement Terms, and either party may end them with written notice as per those terms. Fees for work already performed, and third-party costs already incurred, remain payable. Cancellations and refunds are governed by our Refund & Cancellation Policy.
8. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the services or the Website shall not exceed the fees paid by you to us for the services in the three (3) months preceding the claim, and neither party is liable for indirect, incidental or consequential losses, including loss of profits or data. Nothing in these Terms limits liability that cannot be limited under applicable law.
9. Website use
You agree not to misuse the Website, attempt unauthorised access, or use it for unlawful purposes. Website content is owned by or licensed to us and may not be reproduced without permission.
10. Governing law and jurisdiction
These Terms are governed by the laws of India, and the courts at Indore, Madhya Pradesh shall have exclusive jurisdiction over any disputes, subject to any mutually agreed dispute-resolution process.
11. Changes to these Terms
We may update these Terms from time to time; the “Last updated” date shows the current version. Continued use of the Website or services after changes means you accept the updated Terms.
